annual information form (AIF) - a document required to be filed annually with securities commissions by public companies and investment funds; it contains prescribed information about the issuer and its securities
annual report - a document commonly prepared for
dissemination to security holders of public companies and investment funds;
it usually contains one or more reports from management, the audited
annual financial statements and certain other information; if an annual
report is prepared and sent to security holders, it must also be filed
with the securities commissions
applicable securities laws - the applicable laws
of the provinces and territories of Canada governing dealings in securities
ASC - the Alberta Securities Commission, the SEDAR Filing Service Contractor.
company - an organization, other than an investment
fund
Companies Database - a subset of the SEDAR
Database containing all of the publicly accessible documents and data
filed by or on behalf of companies
CSA - the Canadian Securities Administrators (see
"securities commissions")
date of filing - the date on which a particular
document is transmitted to the SEDAR server; not to be confused with
the date on which a document is downloaded by a recipient agency or
the date on which a document is made publicly accessible by a recipient
agency
document - means any or all of “document”, “information” and “material” as those terms are used in securities legislation
document type - a type of document that is filed with an electronic filing
electronic filer - a person or company that is required to comply with the National Instrument
electronic filing(or filing) - a document that is filed under securities legislation in electronic format or the act of filing a document under securities legislation in electronic format, as the context indicates
electronic format - the computerized format of a document prepared and transmitted in accordance with the standards, procedures and guidelines contained in the SEDAR Filer Manual
file size - the size, in kilobytes, of an electronic
file containing a single document filed through SEDAR
filer - electronic filer or filing agent or any of their respective representatives
filing - an electronic filing
filing agent - a person or company that is authorized
to make an electronic filing on behalf of an electronic filer
filing service contractor - the SEDAR filing service contractor
filing service subscriber (or subscriber) - an electronic filer or a filing agent that enters into an agreement with the SEDAR filing service contractor to make electronic filings through SEDAR
foreign issuer- an issuer that is incorporated or organized under the laws of a foreign jurisdiction, unless;
- (a) voting securities carrying more than 50 percent of the votes for the election of directors are held by persons or companies whose last address as shown on the books of the issuer is in Canada and either
- (i) the majority of the senior officers or directors of the issuer are citizens or residents of Canada, or
- (ii) assets of the issuer representing more than 50 percent of the total of all assets of the issuer are locate in Canada, or
- (iii) the business of the issuer is administered principally in Canada; or
- (b) the issuer has a class of its equity securities listed and posted for trading on a stock exchange in Canada and does not have any of its equity securities listed and posted for trading on a stock exchange or quoted in a published market in any foreign jurisdiction
foreign jurisdiction - a country other than Canada,
or a political subdivision of a country other than Canada
governing jurisdiction - the jurisdiction that enacted
the laws which govern the constitution of a particular public company
investment fund - an organization that issues
securities in Canada on a continuous basis at fair market
value and that invests the proceeds in securities and other assets for
the investment benefit of its security holders
investment fund group - a group of investment
funds that have a common manager, that have their affairs conducted in
a similar manner, and that file a common prospectus and annual
information form qualifying the sale of their securities
Investment Funds Database - a subset of the SEDAR
Database containing all of the publicly accessible documents and data
filed by or on behalf of investment funds issuer - an issuer of securities, including any company or investment fund
issuer profile - a set of information providing
a general profile of a company or investment fund
jurisdiction - a province or territory of Canada
or any country or political subdivision of any country outside Canada
kb - kilobytes
market centre - the TSX Venture Exchange, or its successor and assigns; and “market centre’ means any one of them
National Instrument - National Instrument 13-101 – System for Electronic Document Analysis and Retrieval (SEDAR), as amended, which sets out general rules relating to electronic filing of securities documents with the Canadian securities regulatory authorities using SEDAR
NI - a national instrument, as amended, including any successor instrument

prospectus - a document required to be filed by
a public company or investment fund for clearance by securities commissions

recipient agency - a securities commission [or market
centre] which receives filings through SEDAR
reporting issuer - a public company or investment fund
that is required to file certain prescribed public disclosure documents
securities commissions - the securities regulatory
authorities that administer the securities laws of the provinces and
territories of Canada; each province or territory has its own securities
commission or similar regulatory authority that regulates dealings
in securities in the jurisdiction
SEDAR - the computer system for the transmission,
receipt, acceptance, review and dissemination of documents filed in
electronic format known as the System for Electronic Document Analysis
and Retrieval
SEDAR Database - the database of publicly accessible
documents and data filed through SEDAR
SEDAR Filer Manual - the SEDAR Filer Manual incorporated by reference in the National Instrument
SEDAR Filer Software - the software provided under license by the ASC to electronic filers and filing agents
SEDAR National Instrument - National Instrument
13-101, adopted by the CSA, which is a body of general rules relating
to electronic filing of securities documents with the Canadian securities
commissions using SEDAR
SEDAR server - the computer system operated by the
filing service contractor and used to receive and store documents
and data filed through SEDAR
Short Form Prospectus Issuer - an issuer that participates in the short form prospectus distribution system;
subscriber - a filing service subscriber
third party filer - a person or company required
to file a document as a result of a securities transaction relating
to or affecting an issuer or the issuer's security holders |
